By accessing or using PropLLM ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

PropLLM is an AI-powered platform that helps real estate professionals optimize property listings through:

• Automated listing data extraction from URLs
• AI-powered image analysis and enhancement
• Property description optimization
• Virtual staging and renovation visualization
• Professional listing recommendations

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and legally able to enter into contracts to use this Service. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate and complete registration information
• Keep your account information up to date
• Notify us immediately of any unauthorized access
• Not share your account with others

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful real estate marketing purposes, including optimizing your own listings or those you are authorized to represent.

4.2 Prohibited Conduct

You agree NOT to:

• Upload listings you do not have rights to use
• Violate any intellectual property rights
• Use the Service for illegal or fraudulent purposes
• Attempt to reverse engineer or scrape the platform
• Upload malicious code or attempt to compromise security
• Use the Service to create misleading or deceptive listings
• Exceed rate limits or abuse the Service
• Resell or redistribute Service outputs without authorization

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of all images, descriptions, and other content you upload ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content solely to provide the Service.

5.2 Generated Content

You own the enhanced images and optimized descriptions generated by the Service. However, you are responsible for ensuring their use complies with all applicable laws and MLS regulations.

5.3 Platform IP

The Service, including its design, code, algorithms, and branding, is owned by PropLLM and protected by copyright, trademark, and other intellectual property laws.

6. Pricing and Payment

6.1 Free Tier

We offer limited free access to certain features. Free tier limits may change at our discretion.

6.2 Premium Features

Premium features require payment as displayed on the platform. All payments are processed securely through Stripe.

6.3 Refund Policy

Due to the immediate delivery of AI-generated content, all sales are final. Refunds may be provided at our sole discretion for service failures or technical issues.

6.4 Price Changes

We reserve the right to modify pricing with reasonable notice. Changes will not affect purchases already completed.

7. AI-Generated Content Disclaimer

Our Service uses artificial intelligence to analyze and enhance listings. You acknowledge that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and verifying all generated content
• Enhanced images are artistic interpretations, not architectural plans
• You must comply with MLS disclosure requirements for edited images
• We do not guarantee specific results or performance improvements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid in the past 12 months
• We are not responsible for MLS violations or compliance issues
• We do not guarantee uninterrupted or error-free service

9. Indemnification

You agree to indemnify and hold PropLLM harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you upload or generate

10. Termination

We may suspend or terminate your account at any time for violations of these Terms. You may cancel your account at any time by contacting support. Upon termination:

• Your access to the Service will cease
• We may delete your data per our retention policy
• You remain liable for any outstanding payments
• Sections of these Terms that should survive will remain in effect

11. Third-Party Services

The Service integrates with third-party providers (Supabase, Stripe, AI services, etc.). Your use of these services may be subject to their respective terms of service.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court if they qualify.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or platform notification. Continued use after changes constitutes acceptance.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and PropLLM
• Severability: If any provision is invalid, the remainder continues in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them freely
